These Terms of Service ("Terms", "Agreement") govern your access to and use of the Approvallo platform, websites, applications, software, APIs, and related services (collectively, the "Services") provided by Approvallo ("Approvallo", "Company", "we", "us", or "our").
Approvallo is a cloud-based review, approval, proofing, and collaboration platform designed to help individuals, teams, agencies, and organizations manage creative reviews, document approvals, feedback workflows, and digital collaboration processes.
By accessing or using the Services, creating an account, subscribing to a paid plan, clicking an acceptance button, or otherwise indicating your acceptance of these Terms, you agree to be legally bound by this Agreement.
If you access or use the Services on behalf of a company, organization, agency, government entity, or other legal entity ("Customer"), you represent and warrant that you have the authority to bind that entity to these Terms.
If you do not agree with these Terms, you must not access or use the Services.
1. Acceptance of Terms
These Terms, together with any applicable subscription agreements, order forms, privacy policies, Data Processing Agreements ("DPA"), and additional terms referenced within these Terms, represent the complete agreement between you and Approvallo regarding your use of the Services.
Approvallo reserves the right to update these Terms from time to time. Any material changes will be communicated through reasonable methods, including posting updated Terms on the Approvallo website or notifying account administrators.
Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms.
2. About Approvallo
Approvallo provides a Software-as-a-Service ("SaaS") platform that enables users to manage digital review and approval processes.
The Services may include, depending on the subscription plan:
- Uploading, storing, reviewing, and sharing digital files.
- Creating review and approval workflows.
- Collecting comments, annotations, feedback, and approvals.
- Managing reviewers, collaborators, and team members.
- Tracking revisions, approval status, and activity history.
- Maintaining audit trails and workflow records.
- Sending notifications and communications.
- Managing projects, teams, and permissions.
- Connecting with third-party applications and integrations.
- Using artificial intelligence ("AI") assisted features.
- Accessing APIs and developer tools where available.
Approvallo may improve, modify, replace, or discontinue certain features of the Services as part of ongoing product development, security improvements, performance enhancements, or business decisions.
3. Definitions
For the purposes of these Terms, the following definitions apply:
"Account"
Means a registered account created by an individual or organization to access and use the Services.
"Administrator"
Means a user authorized by a Customer to manage an organization account, including users, permissions, billing settings, and administrative controls.
"AI Features"
Means any functionality within the Services that uses artificial intelligence, machine learning, automated processing, or similar technologies to provide suggestions, recommendations, summaries, classifications, analysis, or generated outputs.
"Approvallo Content"
Means all software, technology, documentation, designs, interfaces, trademarks, logos, branding, databases, systems, and other materials owned or controlled by Approvallo.
"Customer"
Means an individual, business, organization, agency, government entity, or other legal entity that accesses, subscribes to, or uses the Services.
"Customer Content"
Means any files, documents, images, videos, text, comments, annotations, feedback, data, information, materials, or other content submitted, uploaded, created, transmitted, or processed through the Services by or on behalf of a Customer.
"Documentation"
Means user guides, technical documentation, help resources, instructions, and other materials provided by Approvallo relating to the Services.
"Feedback"
Means suggestions, comments, recommendations, ideas, improvements, or other input provided by users regarding the Services.
"Services"
Means the Approvallo website, platform, applications, software, APIs, integrations, tools, and related services.
"Subscription"
Means a paid plan or service agreement that provides access to specific features and functionality of the Services.
"User"
Means any individual authorized to access or use the Services, including employees, contractors, reviewers, collaborators, administrators, guests, or other permitted users.
4. Eligibility
You may use the Services only if:
- You are legally capable of entering into a binding agreement.
- You provide accurate and complete registration information.
- You comply with all applicable laws and regulations.
- You have authority to create an account or use the Services on behalf of an organization.
You are responsible for ensuring that your use of the Services complies with all applicable local, provincial, national, and international laws.
Approvallo does not knowingly provide Services to individuals who are legally prohibited from accessing such services.
5. Account Registration and Security
Certain features of Approvallo require you to create an Account.
When creating an Account, you agree to:
- Provide accurate, current, and complete information.
- Maintain and update your account information when necessary.
- Protect your username, password, and authentication information.
- Prevent unauthorized access to your Account.
- Notify Approvallo promptly if you suspect unauthorized access or security issues.
You are responsible for all activity performed through your Account unless such activity results directly from Approvallo's failure to maintain reasonable security controls.
You must not:
- Share your Account credentials with unauthorized individuals.
- Create an Account using false or misleading information.
- Attempt to access another user's Account.
- Bypass security features or access restrictions.
- Use another person's Account without authorization.
Organizations may assign Administrators who control user access, permissions, and account settings. Customers are responsible for managing authorized users and permissions within their organization.
6. Subscription Services
Approvallo offers different subscription plans that may include free, trial, professional, business, and enterprise options.
Each subscription plan may include different:
- Features and functionality.
- User limits.
- Storage limits.
- File size restrictions.
- API availability.
- Integration capabilities.
- Usage limitations.
Subscription access is provided as a limited, non-exclusive, non-transferable, and revocable right to use the Services during the applicable subscription period.
Customers may not:
- Sell, resell, lease, or sublicense access to the Services unless expressly authorized by Approvallo.
- Use the Services to provide unauthorized third-party services.
- Copy, modify, or reverse engineer the Services.
7. Free Trials
Approvallo may provide free trials or limited access periods to allow users to evaluate the Services.
Free trials may include:
- Limited features.
- Restricted storage.
- User limitations.
- Usage restrictions.
During a free trial:
- The Services are provided without guaranteed availability.
- Certain features may not be available.
- Customer Content may be deleted after the trial period if a paid subscription is not activated.
Approvallo may modify, extend, or discontinue free trials at any time.
8. User Responsibilities
You are responsible for your use of the Services and all activities performed through your Account.
8.1 Customer Content Responsibility
You are solely responsible for all Customer Content uploaded, shared, stored, or processed through Approvallo.
You represent and warrant that:
- You own the necessary rights to upload and use Customer Content.
- You have obtained all required permissions from third parties.
- Your content does not violate applicable laws or third-party rights.
- Your content does not contain malicious code, viruses, or harmful materials.
8.2 User Management Responsibility
Customers are responsible for:
- Managing authorized users.
- Assigning appropriate permissions.
- Removing access when users no longer require access.
- Ensuring users comply with these Terms.
8.3 Appropriate Use
You agree to use Approvallo only for lawful purposes and in accordance with these Terms.
You are responsible for maintaining appropriate backups of Customer Content where necessary for your business operations.
9. Acceptable Use Policy
You agree to use the Services responsibly, legally, and only for their intended purposes. Approvallo provides tools for review, approval, collaboration, and workflow management, and users must not misuse these tools.
You must not use the Services to:
- Upload, transmit, store, or distribute illegal, harmful, fraudulent, or abusive content.
- Violate any applicable laws, regulations, or third-party rights.
- Infringe copyrights, trademarks, patents, privacy rights, or other intellectual property rights.
- Upload content containing viruses, malware, malicious code, or harmful software.
- Attempt to gain unauthorized access to the Services, systems, networks, or other accounts.
- Interfere with the availability, security, or performance of the Services.
- Reverse engineer, decompile, disassemble, or attempt to discover the source code of the Services.
- Use automated systems to scrape, copy, extract, or collect data from the Services without authorization.
- Use the Services to send spam, phishing messages, or unauthorized communications.
- Impersonate another person, organization, or entity.
- Attempt to bypass usage limits, security controls, or access restrictions.
- Use the Services for activities that may damage Approvallo's reputation or infrastructure.
Approvallo reserves the right to investigate suspected violations of this Acceptable Use Policy and take appropriate action, including restricting access, suspending accounts, or terminating Services.
10. Customer Content
10.1 Ownership of Customer Content
Customers retain all ownership rights, title, and interest in their Customer Content.
Approvallo does not claim ownership of files, documents, designs, media, comments, feedback, or other materials uploaded or created by Customers through the Services.
Your Customer Content remains your property, and these Terms do not transfer ownership of Customer Content to Approvallo.
10.2 Limited License to Provide the Services
To operate, maintain, and provide the Services, you grant Approvallo a limited, worldwide, non-exclusive, revocable license to access, host, store, reproduce, process, transmit, display, and otherwise use Customer Content solely as necessary to:
- Provide and operate the Services.
- Enable collaboration and review workflows.
- Display files and information to authorized users.
- Maintain security and reliability.
- Provide technical support.
- Improve system performance and functionality.
- Comply with legal obligations.
Approvallo will not use Customer Content for purposes unrelated to providing the Services without your permission, except where permitted by applicable law.
10.3 Customer Responsibility for Content
You are solely responsible for ensuring that your Customer Content:
- Is accurate and appropriate for your intended use.
- Does not violate any third-party rights.
- Has appropriate permissions for sharing and collaboration.
- Complies with applicable laws and regulations.
Approvallo does not review, verify, or guarantee the accuracy, legality, or ownership of Customer Content.
10.4 Content Removal
Approvallo may remove or restrict access to Customer Content if it reasonably believes that such content:
- Violates these Terms.
- Violates applicable laws.
- Creates security risks.
- Creates risks to Approvallo, users, or third parties.
Where practical, Approvallo will provide notice before removing content unless immediate action is required for security, legal, or operational reasons.
11. Review History, Comments, Approvals, and Audit Records
Approvallo may maintain records generated through the use of the Services, including:
- Comments and feedback.
- Annotations.
- Approval decisions.
- Revision history.
- User activity records.
- Audit logs.
- Workflow status information.
These records help Customers manage review processes, maintain accountability, and improve collaboration.
Retention of review records may depend on:
- The Customer's subscription plan.
- Customer-configured retention settings.
- Legal requirements.
- Storage limitations.
Customers are responsible for exporting or preserving records required for their business, legal, regulatory, or compliance obligations.
12. Intellectual Property Rights
12.1 Approvallo Ownership
All rights, title, and interest in and to the Services, including software, technology, user interfaces, designs, workflows, documentation, trademarks, logos, and related intellectual property, are owned by or licensed to Approvallo.
Except for the limited rights expressly granted under these Terms, no intellectual property rights are transferred to you.
12.2 Limited Use Rights
Subject to your compliance with these Terms, Approvallo grants you a limited, non-exclusive, non-transferable right to access and use the Services for your internal business or personal purposes.
You may not:
- Copy or reproduce the Services.
- Create derivative works based on the Services.
- Modify or distribute the Services.
- Remove proprietary notices.
- Use Approvallo branding without written permission.
12.3 Feedback
If you provide Feedback regarding Approvallo, you grant Approvallo a worldwide, perpetual, irrevocable, royalty-free license to use, modify, incorporate, and commercialize such Feedback for improving or developing products and services.
Approvallo is not required to use any Feedback and does not owe compensation for submitted Feedback.
13. AI Features and Generated Content
Approvallo may provide optional AI-powered features designed to assist users with reviewing, analyzing, organizing, summarizing, or managing content.
AI Features may include:
- Automated suggestions.
- Content summaries.
- Classification assistance.
- Workflow recommendations.
- Review assistance.
- Other AI-powered productivity tools.
13.1 AI Output Responsibility
AI-generated results are provided as assistance only and may contain errors, inaccuracies, or incomplete information.
Users are responsible for reviewing, validating, and approving AI-generated outputs before relying on them for business, legal, financial, creative, or operational decisions.
Approvallo does not guarantee that AI-generated content will be accurate, complete, suitable, or error-free.
13.2 Customer Data and AI Processing
Where AI Features process Customer Content, such processing will be performed only as necessary to provide the requested functionality and according to applicable privacy and data protection requirements.
Customers should not submit confidential, regulated, or sensitive information through AI Features unless they have confirmed that such use is appropriate.
13.3 Experimental Features
Approvallo may offer beta, preview, experimental, or early-access AI Features.
Such features:
- May contain errors or limitations.
- May change or be discontinued.
- May not provide the same reliability as generally available features.
- May be subject to additional terms.
14. Third-Party Integrations and Services
Approvallo may allow connections with third-party applications, platforms, services, or integrations.
Examples may include:
- Cloud storage providers.
- Communication platforms.
- Project management tools.
- Authentication providers.
- Developer APIs.
- Other business applications.
Third-party services are controlled by their respective providers, not Approvallo.
Your use of third-party services is subject to the applicable third-party terms, licenses, and privacy policies.
Approvallo is not responsible for:
- The availability of third-party services.
- Changes made by third-party providers.
- Third-party security practices.
- Loss caused by third-party services.
15. Collaboration and Sharing Features
Approvallo allows Customers to collaborate with internal and external users through sharing features, review links, comments, approvals, and workflow permissions.
Customers are responsible for:
- Choosing appropriate sharing permissions.
- Controlling who receives access.
- Removing access when no longer required.
- Ensuring shared content is appropriate for recipients.
Users should carefully review sharing settings before distributing confidential or sensitive materials.
16. API Usage
Where Approvallo provides API access, Customers may use APIs only according to applicable documentation, usage limits, and these Terms.
Customers must not:
- Abuse API resources.
- Attempt unauthorized access.
- Circumvent rate limits.
- Use APIs to disrupt the Services.
- Expose API credentials publicly.
Approvallo may apply reasonable limits, suspend API access, or modify API functionality to protect service reliability and security.
17. Service Availability and Performance
Approvallo works to provide a reliable, secure, and continuously improving platform. However, the Services are provided on an "as available" basis and Approvallo does not guarantee that the Services will be available without interruption.
Service availability may be affected by:
- Scheduled maintenance.
- Emergency maintenance.
- Internet connectivity issues.
- Third-party service failures.
- Hardware or software failures.
- Events outside Approvallo's reasonable control.
Approvallo may temporarily suspend access to all or part of the Services when necessary to:
- Perform maintenance or upgrades.
- Address security threats.
- Prevent abuse or misuse.
- Comply with legal obligations.
- Protect users, systems, or infrastructure.
17.1 Service Level Agreements
Unless expressly agreed in a separate written agreement, Approvallo does not provide a guaranteed service level agreement ("SLA"), uptime commitment, or service credit program.
Enterprise customers may have access to customized SLA commitments through a separate agreement.
18. Security
Approvallo implements reasonable administrative, technical, and organizational safeguards designed to protect Customer Content and maintain the security of the Services.
Security measures may include:
- Access controls and authentication mechanisms.
- Encryption technologies where appropriate.
- Monitoring and logging systems.
- Security updates and vulnerability management.
- Infrastructure protection measures.
- Employee access controls.
While Approvallo takes reasonable steps to protect information, no internet-based service can guarantee absolute security.
Customers are responsible for:
- Maintaining secure passwords.
- Managing user permissions.
- Protecting authentication credentials.
- Using appropriate security practices.
- Reporting suspected security incidents.
19. Data Protection and Privacy
Approvallo processes personal information in accordance with applicable privacy laws and its Privacy Policy.
The Privacy Policy explains:
- What personal information Approvallo collects.
- How information is used.
- How information is stored and protected.
- How users can exercise privacy rights.
By using the Services, you acknowledge that you have reviewed and understood the Privacy Policy.
19.1 Customer as Data Controller
Where Customer Content includes personal information belonging to individuals, the Customer remains responsible for determining the purpose and legal basis for processing such information.
Customers are responsible for:
- Providing required notices to individuals.
- Obtaining required consents where applicable.
- Ensuring lawful collection and use of personal information.
- Responding to requests from individuals relating to their information.
19.2 Approvallo as Service Provider / Processor
Where applicable privacy laws require a processor or service provider relationship, Approvallo processes personal information only according to Customer instructions and these Terms.
Approvallo may process information to:
- Provide the Services.
- Maintain platform security.
- Provide technical support.
- Improve reliability and performance.
- Comply with legal obligations.
20. Data Processing Agreement (DPA)
Business customers requiring additional data protection obligations may enter into a Data Processing Agreement ("DPA") with Approvallo.
A DPA may address:
- Processing instructions.
- Security obligations.
- Subprocessors.
- International data transfers.
- Data subject rights assistance.
- Data breach notification procedures.
Customers requiring a DPA should contact Approvallo before processing regulated or sensitive personal information through the Services.
21. Data Storage and Retention
Approvallo stores Customer Content according to the applicable subscription plan, system configuration, and Customer settings.
Customers acknowledge that:
- Storage limits may apply.
- Deleted content may not always be recoverable.
- Retention periods may vary depending on service configuration.
- Customers are responsible for maintaining copies of important content.
Upon termination or expiration of a subscription, Customer Content may be handled according to Approvallo's data retention and deletion procedures.
22. Fees and Payments
Certain features of the Services require payment of subscription fees.
Subscription fees are determined based on:
- The selected subscription plan.
- Number of users.
- Storage requirements.
- Additional features.
- Usage levels.
- Custom enterprise agreements.
By purchasing a subscription, you authorize Approvallo or its payment providers to charge applicable fees according to the selected billing method.
22.1 Payment Obligations
Customers agree to:
- Provide accurate billing information.
- Pay all applicable fees when due.
- Maintain valid payment information.
- Notify Approvallo of billing changes.
Failure to pay applicable fees may result in suspension or termination of access to the Services.
23. Subscription Renewals
Unless otherwise stated, subscriptions automatically renew for the same subscription period unless cancelled before the renewal date.
Customers authorize Approvallo to charge applicable renewal fees using the payment method on file.
Approvallo may update subscription pricing before renewal by providing reasonable notice.
24. Taxes
All fees are exclusive of applicable taxes, duties, or government charges unless otherwise stated.
Customers are responsible for paying applicable taxes associated with their purchase or use of the Services.
Approvallo may collect taxes where required by applicable law.
25. Cancellation
Customers may cancel subscriptions according to the cancellation process available through their Account or by contacting Approvallo.
Cancellation will generally take effect at the end of the current billing period unless otherwise stated.
After cancellation:
- Access may continue until the end of the paid subscription period.
- Renewal charges will stop.
- Features may become limited after expiration.
26. Refund Policy
Unless required by applicable law or stated in a separate agreement, subscription fees are generally non-refundable.
Approvallo may provide refunds or credits at its discretion in cases such as:
- Billing errors.
- Duplicate charges.
- Service issues caused directly by Approvallo.
- Other exceptional circumstances.
Enterprise customers may have different refund terms under a separate agreement.
27. Suspension and Termination
27.1 Suspension Rights
Approvallo may suspend access to the Services if:
- You violate these Terms.
- Your use creates security risks.
- Your account contains fraudulent activity.
- Payment obligations are overdue.
- Suspension is required by law.
Where possible, Approvallo will provide notice before suspension.
27.2 Termination by Customer
Customers may terminate their use of the Services by cancelling their subscription and discontinuing use of the platform.
27.3 Termination by Approvallo
Approvallo may terminate this Agreement if:
- A material breach is not corrected.
- Use of the Services creates legal or security risks.
- The Services are discontinued.
- Required by applicable law.
27.4 Effect of Termination
Upon termination:
- Your right to access the Services ends.
- Outstanding payment obligations remain due.
- Certain provisions of these Terms continue to apply.
- Customer Content may be handled according to retention policies.
28. Confidentiality
Each party may receive confidential information from the other party during use of the Services.
Confidential information includes:
- Business information.
- Technical information.
- Security information.
- Customer data.
- Non-public product information.
Each party agrees to:
- Protect confidential information using reasonable care.
- Use confidential information only for permitted purposes.
- Limit access to individuals who need the information.
- Not disclose confidential information without authorization.
Confidentiality obligations do not apply to information that:
- Is publicly available without breach.
- Was already lawfully known.
- Is independently developed.
- Must be disclosed by law or legal process.
29. Warranties
Each party represents and warrants that:
- It has the legal authority to enter into these Terms.
- It will comply with applicable laws and regulations.
- It will perform its obligations in good faith.
Approvallo warrants that it will provide the Services in a professional manner consistent with generally accepted industry practices.
Customers warrant that:
- They have all necessary rights and permissions to provide Customer Content through the Services.
- Their use of the Services complies with applicable laws.
- Their users are authorized to access and use the Services.
30. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
APProvallo DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- MERCHANTABILITY.
- FITNESS FOR A PARTICULAR PURPOSE.
- NON-INFRINGEMENT.
- ACCURACY OR COMPLETENESS OF INFORMATION.
- UNINTERRUPTED OR ERROR-FREE OPERATION.
- AVAILABILITY OF THE SERVICES AT ALL TIMES.
Approvallo does not guarantee that:
- The Services will meet every Customer requirement.
- The Services will be free from errors or defects.
- AI-generated outputs will always be accurate.
- Customer Content will never be lost or corrupted.
- The Services will operate without interruptions.
Customers are responsible for evaluating whether the Services are suitable for their intended purpose.
31. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, APProvallo SHALL NOT BE LIABLE FOR ANY:
- Indirect damages.
- Incidental damages.
- Special damages.
- Consequential damages.
- Loss of profits.
- Loss of revenue.
- Loss of business opportunities.
- Loss of reputation.
- Loss of data.
This limitation applies regardless of the legal theory, including contract, negligence, tort, strict liability, or otherwise.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, APProvallo'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY CUSTOMER TO APProvallo DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain limitations of liability. In such cases, limitations will apply only to the maximum extent permitted by applicable law.
32. Indemnification
32.1 Customer Indemnification
Customer agrees to defend, indemnify, and hold harmless Approvallo, its affiliates, officers, employees, contractors, and representatives from claims, damages, liabilities, expenses, and costs arising from:
- Customer Content.
- Violation of these Terms.
- Unauthorized use of the Services.
- Violation of third-party rights.
- Violation of applicable laws.
32.2 Approvallo Intellectual Property Indemnification
Approvallo will defend Customer against claims alleging that the Services, when used as permitted under these Terms, infringe a third party's intellectual property rights.
Approvallo may, at its discretion:
- Modify the Services to avoid infringement.
- Replace affected functionality.
- Obtain rights allowing continued use.
- Terminate affected Services and provide applicable refunds.
Approvallo will have no obligation for claims arising from:
- Customer modifications.
- Combination with unauthorized third-party products.
- Use outside the scope of these Terms.
- Customer Content.
33. Export Controls and Sanctions Compliance
You agree to use the Services in compliance with applicable export control laws, sanctions regulations, and trade restrictions.
You must not use the Services:
- In violation of applicable sanctions.
- For prohibited activities.
- By individuals or organizations restricted under applicable laws.
Customers are responsible for ensuring that their use of the Services complies with applicable international trade requirements.
34. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict of law principles.
The parties agree that the courts located in Ontario, Canada shall have exclusive jurisdiction over disputes arising from or related to these Terms, unless otherwise agreed in writing.
35. Dispute Resolution
Before initiating formal legal proceedings, the parties agree to attempt to resolve disputes through good-faith discussions.
A party seeking resolution should provide written notice describing:
- The nature of the dispute.
- The relevant facts.
- The requested resolution.
If the dispute cannot be resolved through reasonable discussions, either party may pursue available legal remedies.
36. Force Majeure
Neither party will be responsible for delays or failures caused by circumstances beyond its reasonable control, including:
- Natural disasters.
- War, terrorism, or civil unrest.
- Government actions.
- Internet failures.
- Power outages.
- Third-party infrastructure failures.
- Labor disputes.
- Other events outside reasonable control.
The affected party will make reasonable efforts to minimize the impact of such events.
37. Assignment
You may not assign or transfer these Terms or your rights under these Terms without Approvallo's prior written consent.
Approvallo may assign these Terms:
- As part of a merger, acquisition, financing, restructuring, or sale of assets.
- To an affiliate company.
- To a successor entity.
38. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be modified or removed only to the extent necessary.
The remaining provisions will continue to remain valid and enforceable.
39. Entire Agreement
